
Alcoa’s proposed acquisition of South32’s bauxite, alumina and aluminium assets will bring the Hillside aluminium smelter in South Africa into its global portfolio, placing renewed attention on an important upstream link in the country’s aluminium packaging supply chain.
The transaction, announced on 30 June 2026, covers South32’s interests in operations across Australia, Brazil and South Africa. South32 has placed the implied enterprise value of the transaction at up to US$5.6 billion, while Alcoa has stated upfront consideration of approximately US$4.1 billion, comprising US$3.1 billion in cash and around US$1 billion in Alcoa shares. Additional contingent consideration of up to US$750 million may also become payable.
The inclusion of Hillside is particularly relevant. Located in Richards Bay, KwaZulu-Natal, the primary aluminium smelter sits upstream of South Africa’s aluminium manufacturing and converting sector.
South African rolled aluminium producer Hulamin sources primary aluminium from Hillside and supplies rolled products to a range of downstream markets, including packaging. Its packaging applications include aluminium for beverage can bodies, can ends and tabs, closures, foil and laminates, tamper-proof seals and pharmaceutical blister packs.
The proposed ownership change therefore connects Alcoa, one of the world’s major integrated aluminium producers, with an established upstream supplier serving South Africa’s domestic aluminium value chain.
However, no packaging-specific expansion, additional can-sheet capacity or increase in aluminium supply from Hillside has been announced as part of the transaction. The packaging significance at this stage relates to the change in ownership of an important primary aluminium production asset rather than confirmed additional packaging capacity.
Alcoa said the wider acquisition would expand its global bauxite, alumina and aluminium portfolio. The transaction remains subject to regulatory and shareholder approvals and other customary closing conditions, with completion expected in the first half of 2027.
